Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CallLocally platform and website at calllocally.com (the "Service"), operated by CallLocally, LLC ("CallLocally," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

CallLocally is a software-as-a-service platform that helps home-service contractors respond to missed calls automatically via SMS. When a Subscriber's business line receives a missed call, CallLocally sends a follow-up text to the caller and relays the caller's reply to the Subscriber. The Service uses Twilio for telephony, Stripe for billing, and SendGrid for transactional email.

2. Eligibility & Account Registration

You must be at least 18 years old and legally able to form a contract to use the Service. You must provide accurate information when registering, keep your password confidential, and notify us at support@calllocally.com of any unauthorized account access. You are responsible for all activity that occurs under your account.

3. Subscription, Trials & Billing

CallLocally offers a time-limited free trial that begins when your toll-free number is verified. At the end of the trial, your subscription will automatically convert to a paid plan and your payment method will be charged monthly, unless you cancel before the trial ends. Subscriptions renew automatically each billing period until you cancel. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law.

Fees are exclusive of applicable taxes, which you are responsible for. We may change prices on 30 days' notice; price changes apply to renewal periods starting after the notice date.

We may suspend or terminate accounts that violate these rules, with or without notice.

5. SMS Messaging

Subscribers are responsible for complying with all laws, regulations, and carrier policies applicable to SMS messages sent through the Service, including the TCPA, state law, and A2P 10DLC compliance requirements. CallLocally handles A2P 10DLC brand and campaign registration on behalf of Subscribers but does not guarantee carrier approval or message delivery. Some messages may fail to deliver due to carrier filtering, recipient blocking, or other causes outside our control. All messages sent through the Service must honor STOP and HELP keywords; this is enforced at the platform level.

6. Content & Ownership

You retain ownership of any content you submit through the Service (business name, messages, customer information). You grant CallLocally a worldwide, non-exclusive license to host, transmit, and process that content solely as necessary to provide the Service.

CallLocally's software, website, logos, and documentation are our intellectual property and are protected by copyright and trademark law. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described.

7. Third-Party Services

The Service integrates with Twilio, Stripe, SendGrid, and other third-party providers. Your use of those providers is governed by their respective terms. CallLocally is not responsible for outages, errors, or policy changes by third-party providers.

8. Termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or use the Service in a way that exposes us or other users to legal or operational risk. On termination, your access to the Service ends; we will retain data in accordance with our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL MESSAGES WILL BE DELIVERED. MESSAGE DELIVERY DEPENDS ON CARRIERS AND OTHER FACTORS OUTSIDE OUR CONTROL.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLLOCALLY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOST DATA, OR LOST CUSTOMERS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

11. Indemnification

You will indemnify and hold harmless CallLocally, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your use of the Service, your content, or your violation of any law or the rights of any third party (including TCPA claims arising from messages you sent or caused to be sent).

12. Governing Law; Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising out of or relating to the Service or these Terms will be resolved in the state or federal courts located in Orange County, California, and you consent to the exclusive jurisdiction and venue of those courts.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated by email to active Subscribers or via notice on the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. These Terms are the entire agreement between you and CallLocally concerning the Service and supersede prior agreements on this subject.
